Course Description:

Good Corporate Governance is about helping to prevent corporate scandals, fraud, and potential civil and criminal liability in the firm or organization. Good Corporate Governance is also about good business, and what’s good for the business. A good corporate governance image enhances the firm’s reputation and makes it much more attractive to its investors, its suppliers and its customers.

This course provides participants with an overview of the regulation, frameworks and principles behind good corporate governance policy and practice. The aim is to provide delegates with an understanding of core governance debates and issues, practical advice on compliance and familiarity with accepted best practice.

In the last decade corporate governance has become established as an area of increasing academic, political and commercial debate. It has now become essential for any middle or senior manager to have an understanding of the key aspects of effective corporate governance.

This course is aimed at educating employees on the laws, regulations and company policies that apply to their day-to-day job responsibilities. The course is intended to provide the participants with the ability to achieve the key compliance goals of:

Avoiding and detecting violations by employees that could lead to legal liability for the organization;
Creating a more hospitable and respectful workplace; and
Laying the groundwork for a partial or complete defense in the event that employee wrongdoing occurs.


Learning Objectives:

The aim of this program is to provide participants with:

An overview of current thinking and developments in the field of corporate governance.
The ability to administer effectively corporate affairs within an organization and to contribute to corporate performance at a senior level.
To understand the interrelationship between management, finance, law and ethics in the field of corporate governance.
An understanding of ethics and values in the business community and the relationship to corporate governance

This course will provide participants with a sound grounding in the key components of corporate governance which will in turn enhance their ability to operate at more senior levels of organizations.

This is a highly interactive course comprised of presentations, case studies, multidirectional discussions and comprehensive exercises.

Most importantly it will offer participants, opportunities to plan such work within small working groups, providing practice in the application of the techniques and tools generating active participation.

Corporate Governance Primer
Definition, Separation of management and control, Agency theory and its problems, Manager and shareholder risk and its diversification, Governance mechanisms, CEO pay and performance, Managerial defence tactics.
Corporate Governance Standards
The UK Combined Code on Corporate Governance, OECD Principles of Corporate Governance, Core competencies of company directors. What all directors need to know, Checking the effectiveness of company boards, Directors and the global financial crisis.

Session 2

Corporate Governance in Emerging Countries
“Negative” and “Positive” approaches. The family business, Relationships between the Family, Shareholders, Directors and Management, Cases study – a family based mining business.
Case Study - Corporate Governance Trends in the Gulf
We examine the position of Corporate Governance today in the Gulf States with a comparison to IIF Guidelines.

Session 3

Corporate Governance in Banks
Residual Claimant Theory, the Bank Board, the Board’s role and responsibility, the Unique dimensions of bank governance, Bank boards, directors and governance.

Session 4

Independent Directors
Who are independent directors, Choosing independent directors, the Role and responsibilities of the independent director, what the “average” independent director looks like, how different jurisdictions see independent directors – we examine the US (Sabanes Oxley and the NYSE rules) and the UK (Companies Act), Corporate Social Responsibility and independent directors

Session 1

Case Study – Singapore
We examine the implementation and enforcement of corporate governance rules in Singapore and the case of China Aviation Oil.
Corporate Governance and Capital Markets
Lessons from the financial crisis, Strengthening capital markets through corporate governance.
Case Study – Arab Bank
How the Arab Bank developed an anti-corruption compliance program. Extensive use is made in this case study of the Siemens corruption scandal.

Session 2

Financial Goals and Corporate Governance
The multinational enterprise, Global financial management, the Goal of management, Shareholder wealth maximization, Corporate wealth maximization, Failures in corporate governance, Regulation of corporate governance, Governance, rights and the future.
Case Study – Philippines
Managing Corporate Governance within its legal/regulatory environment and Corporate Governance Practices.

Session 3

IT Governance
What IT governance is all about, Why target IT? IT Governance defined, standards & frameworks, Key issues (governance, risk, law, security, internal and external threats, physical security, the characteristic of IT governance.

Session 4

Concluding Case Study - Who killed the Chief Executive?
